MANITOBA ENVIRONMENT OFFICERS ASSOCIATION CONSTITUTION September 2004 Article A: Name This Association shall be known as the Manitoba Environment Officers Association Inc. Article B: Mission Statement The mission statement of the Association is: “To enhance the public health and safety of Manitobans and to protect, maintain and rehabilitate Manitoba’s environment ecosystems through the diligent duties of educated Environment Officers and to obtain for Environment Officers continued education and recognition of their efforts” Article C: Objectives The objectives of the Association are: (a) To maintain an Association of Manitoba Environment Officers within the Province of Manitoba to foster solidarity and to promote our mutual interests. (b) To secure and maintain maximum recognition of Manitoba Environment Officer’s responsibilities by their employer, the public and their clients. (c) To maintain a high standard of Professionalism among its members and for our clients. (d) To provide a strong and unified voice within government. (e) To promote and encourage a high standard of morale in the membership. (f) To promote professionalism and career development for Environment Officers. (g) To foster an open, honest and flexible working environment in which members can operate as a team to deliver services to our clients. (h) To maintain and strengthen all legislation that is needed in the protection of the environment in the Province of Manitoba. Article D: Membership Section 1 This Association shall observe and be guided by the Constitution and General By-laws of the Manitoba Environment Officers Association. Section 2 Regular membership shall be granted to those persons in good standing in the Manitoba Environment Officers Association. (i) Regular Members All environment officers employed by Manitoba Conservation and Water Stewardship. (ii) Associate Members Any person recommended by two regular members. (iii) Honorary Members Any active regular member of the Association who retires shall automatically become an Honorary Member. Any member or former member shall automatically become an Honorary Member. Any member or former member can be recommended for Honorary Membership by a Regular Member in good standing, at the annual general meeting. Acceptance as an Honorary Member requires a two-thirds (2/3) vote. Section 3 Membership fees shall be due and payable on January 1st of each year. Any Member who fails to pay the annual fee by March 31st shall be sent one reminder and given four weeks to pay, he/she shall be registered as not being a member in good standing and membership shall be withdrawn. Section 4 A member may be re-instated by payment of the fees for the year in which re-instatement is applied. Section 5 Any person who becomes a member after October 1st of any year shall be considered to have paid the fee for the subsequent year commencing January 1st. Section 6 The annual membership fee shall be determined by the executive. Section 7 The annual membership fee shall be approved by vote at the Annual General Meeting. Article E: Officers of the Association Section 1 The elected officers of the Association shall be known as the Association Executive and shall consist of President, Vice President, Secretary, Treasurer and four (4) Councilors. Section 2 The Association Executive shall be elected at Annual General Meetings. The executive shall serve for a term of two years. The President and Treasurer shall be elected on alternate years of the Vice President and Secretary. The Association Executive shall assume office on the day following the Annual General Meeting. Section 3 Any vacancy in the Association Executive shall be filled by election at the next general meeting. Section 4 Any officer of the Association Executive shall cease to hold office when he/she ceases to be a member in good standing of the Association. Article F: Duties of the President The President Section 1 Shall be the presiding officer at the Annual General Meeting and all general Meetings of the Executive. Section 2 Shall together with the Treasurer and Secretary be a signing officer of the Branch. Section 3 Shall submit a written report to the Manitoba Environment Officers Association Annual General Meeting outlining the work of the Association during that year. Section 4 Shall ex-officio be a member of all committees. Article G: Duties of the Vice-President The Vice-President shall, in the event of the absence, death or resignation of the President have the power to perform the duties of the President and shall carry out such other duties as the Association Executive may form time to time delegate. Article H: Duties of the Secretary The Secretary Section 1 Shall have custody of the minute book and other records of the Association. Section 2 Shall together with the President and Treasurer, be a signing officer of the Association. Section 3 Shall record the minutes. Section 4 Shall conduct the correspondence of the Association as directed by the executive. Section 5 Shall file an annual return with the Incorporations Branch in Manitoba. Section 6 Shall issue or cause to be issued all notices of meetings to the members of the Association. Section 7 Shall keep a record of the proceedings of all Association Executive meetings and Annual meetings and provide copies of such records to the membership. Section 8 Shall carry out any other duties assigned by the Association Executive. Article I Duties of the Treasurer The Treasurer Section 1 Shall together with the President and Secretary, be a signing officer of the Association. Section 2 Shall receive and deposit money in a registered financial institution determined from time to time by the Association Executive. The account shall be in the name of the Association. Section 3 Shall enter or have entered all receipts and disbursements in the books or accounts. Section 4 Shall provide a financial report for submission to each General Meeting or whenever it may be called for by the Association Executive. Section 5 Shall maintain a register of members. Section 6 Shall collect all membership fees. Section 7 Shall carry out any other duties assigned by the Association Executive. Article J Duties of the Association Executive The Association Executive Section 1 Shall meet to conduct the business of the Association including the passing of accounts for payment, at the call of the President or at the request of any 3 members of the Association Executive. Section 2 Shall appoint a Nominating Committee during election years not less than thirty (30) days prior to the Annual General Meeting. The Nominating Committee shall have not less than two (2) members. Section 3 Shall at each Association Executive meeting cause the chairman of each standing committee or ad-hoc committee to present a report on their respective committee(s). Section 4 Shall supervise and control all publications of the Association. Article K Quorum Section 1 A quorum for Association Executive meetings shall be four (4) members. Section 2 A quorum for the Annual General Meeting or any other meeting of the membership shall be a simple majority of those members present. Article L Meetings Section 1 Association Executive meetings shall be held at the call of the President or at the request of 3 members of the Association Executive. Section 2 The Annual General Meeting shall be held on such date no later than November 30th and at such a place in Manitoba as the Executive shall from time to time determine. The election of officers shall take place at this meeting every second year. Section 3 Special meetings may be called at the request of the Association Executive or at the request of any regular member when approved by the Executive. Fourteen (14) days written notice shall be given to each voting member of any annual or special general meeting of members. Notice of any meeting where special business will be transacted shall contain sufficient information to permit the member to form a reasoned judgement of the decision to be taken. Article M Voting Section 1 Every regular member in good standing shall be eligible for office and entitled to one vote on any and all issues. Section 2 On the election of officers or major issues as decided by then Association Executive, and on amendments to the By-laws of this Association, members who are entitled to vote may do so by proxy. The proxy must be a member entitled to vote and his authority must be in writing and filed with the Secretary prior to the opening of the meeting at which the vote takes place. Article N Audit Committee An audit committee in lieu of an auditor shall be appointed from the membership to review the accounts of the association and report to the members at the next annual meeting. The audit committee shall be appointed by the past-President. The audit committee shall hold office until the next annual general meeting provided that the directors may fill any casual vacancy in the audit committee. Article O Rules and Regulations The Executive may prescribe such rules and regulations not inconsistent with these by-laws relating to the management and operation of the corporation as they deem expedient, provided that such rules and regulations shall have force and effect only until the next annual meeting of the members of the corporation when they shall be confirmed, and failing such confirmation at such annual meeting of members, shall at and from that time cease to have any force and effect. Article P Points of Procedure Not Covered These By-laws shall not be amended except at the Annual General Meeting. |
